Removal Of Directors

Any Director of the company can be removed by shareholder before the expiry of his tenure. Director appointed by the Tribunal, court or appointed by way of proportional representation cannot be removed by the shareholder.

Before removing any Director, such director shall be provided an opportunity of being heard before the members of the company.

Process

1. Special notice

Receipt ofspecial notice from the requisite number of members to the company.

2. Copy of notice

Copy of notice to be sent to the director who is to be removed.

3. Hold Board meeting

Pass Board resolution regarding fixation of day, date and venue for general meeting for removal ofdirector.

4. Hold general meeting

Pass resolution for removal of director after giving an opportunity of being heard to the director.

5. ROC Filing

File the requisite form within 30 days from the date of removal of director.

Timeline

Once we receive all the required documents, it takes 15-20 working days for removal of Director of the company.
